Agentic AI and AI agents are not the same thing. The terms get used interchangeably, but they describe meaningfully different levels of autonomy, and from a governance standpoint, that difference is crucial.

Agentic AI is human-triggered: a person initiates the task, the AI decides how to execute it, and a human reviews the result. AI agents pursue independent goals, trigger themselves on a schedule or event, and operate with minimal real-time human oversight.

Most organizations are already using agentic AI, even if they aren’t calling it that. When an employee asks a large language model connected to business tools to pull last quarter’s sales data, summarize it, and format it for a board presentation, that’s agentic AI. The human set the goal. The AI figured out the execution: which data warehouse to query, which tables to pull, how to structure the output. A human still reviewed the result, but the AI made a series of decisions along the way that no one explicitly authorized.

Where the Distinction Goes Beyond Triggering

The difference between agentic AI and AI agents isn’t only about what starts them. It’s about how much cognitive work the AI is doing independently.

With agentic AI, the human still owns the planning. The AI figures out the steps to get there. With AI agents, the agent interprets an abstract objective, decides what sub-tasks are required, prioritizes among competing considerations, and adapts its approach as conditions change. When a human offloads that level of cognitive work to an agent, oversight of individual decisions decreases, and the surface area for things to go wrong expands.

An AI agent operating on a schedule with access to procurement systems has more in common with an employee than with a chatbot.

Why This Distinction Matters for Governance

Agentic AI and AI agents carry different risk profiles, require different oversight mechanisms, and raise different accountability questions. Most existing AI governance programs were built for a model that produces output a human then reviews and acts on. Agentic AI breaks that model. When an agent acts autonomously, the human may never see or approve the specific action taken. That creates risk areas that existing governance programs aren’t structured to address. Four deserve particular attention here.

Irreversibility. Some agent actions can’t be walked back: a financial transaction that’s settled, content that’s been published and indexed, data that’s been permanently deleted, an email sent to a customer. Irreversibility should be treated as a primary factor in risk assessment, with mandatory human approval required before any action that can’t be undone.

Prompt injection. Agents that process external content, such as emails, web pages, and database records, are vulnerable to indirect prompt injection, where adversaries embed hidden instructions in that content to hijack the agent’s behavior. With a standard generative AI model, the damage is limited to misleading output and a human still decides whether to act on it. With an agentic system, a successful injection translates directly into unauthorized action.

Agent-to-agent risk. When multiple agents interact, one agent’s output becomes another’s input. Errors and hallucinations can propagate and amplify through the chain. Ambiguities that neither agent flags may never get resolved. Governance programs need to address how multi-agent handoffs work, what gets verified at each step, and how to maintain an audit trail across the workflow.

Observability gaps. With standard generative AI, observability is relatively straightforward: the output is on screen. With agentic AI, an agent may take dozens of actions across multiple systems with no guarantee anyone sees what happened unless purpose-built logging is in place. Without detailed logs of what the agent did, which tools it called, what data it accessed, and what decisions it made, governance is effectively blind.

Three Ways Agents Take Action

How an agent acts determines how hard it is to govern. There are three primary mechanisms, each with a different risk profile.

Tool calling is the most manageable. The agent calls pre-defined APIs or MCP server endpoints. The universe of possible actions is bounded by which tools exist and which the agent has permission to access. Administrators can control and revoke access at a granular level.

Computer use is broader. The agent navigates interfaces, clicks, and types just as a human user would. It can interact with any software visible on screen, with or without a formal API. From the target system’s perspective, the agent is indistinguishable from a legitimate user.

Code generation and execution is the hardest to govern. The agent writes novel code and runs it. The blast radius is bounded only by the runtime environment. Actions can blend into background system operations and are difficult to distinguish from legitimate automated processes.

Many agentic systems combine all three, which compounds the governance challenge considerably.

What Needs to Change in Your Governance Program

Agentic AI governance doesn’t require starting from scratch. Organizations with existing governance programs have a foundation to build on. What’s needed are targeted updates in four areas.

Defined scope per agent. Every agent needs clear boundaries: what it’s authorized to do, which tools it can access, and under what conditions it can act without human approval.

Controls proportional to autonomy. A low-autonomy agent with no external access has a different risk profile than a persistent agent with access to sensitive internal data and external systems. Uniform controls don’t work here.

Pre-deployment accountability. Responsibility needs to be allocated before deployment, not after an incident. Who approves the agent for use? Who monitors its behavior over time? Who is accountable when something goes wrong?

Active shadow agent management. Employees connect AI tools to business systems without formal review. Governance teams need detection mechanisms calibrated to each action type: network monitoring for tool calling, endpoint detection tools for computer use, and runtime environment controls for code generation.
